Brian's practice includes advising employers, lenders, investors, and fiduciaries on the ERISA, tax, and business law aspects of employee compensation and benefit plans, as well as advising on the ERISA and benefits aspects of the Firm's corporate, employment, and transactional practice areas. Brian's practice includes structuring partnerships for both compensatory and investment-oriented transactions. Brian also advises clients on structuring private equity investments and offerings, with a particular focus on international investment in the United States.
Brian is nationally recognized in private company ESOP structuring and finance, with substantial experience since 1989 in the areas of tax and transactional structuring, corporate finance, and ERISA structuring and compliance. He is a member of various professional organizations and has lectured legal and business audiences on ESOPs and other compensation and benefits topics.
Brian joined Morrison Cohen in 1997. He began his career at Casey Lane and Mittendorf (later Lane and Mittendorf) where he was an associate and then a partner in the Tax and ERISA Departments.
