Sophisticated and complex information technologies are pervasive in business today.  Morrison Cohen offers a team of lawyers with extensive experience advising users and providers of a broad range of technologies on their transactions and project implementations.

We represent buyers of services and technology, and service providers, seeking to acquire or deliver and implement e-commerce payment and fulfullments systems, website development and hosting, data processing and storage solutions, custom software development and implementations, subscription-based and user-hosted software licenses, click-wrap software licenses, mobile application development, cloud computing solutions (including various types of hosting, SaaS, and IaaS), and diverse outsourcing solutions, on- and off-shore, across a variety of service, gaming, manufacturing, and financial industries. We also assist clients in the preparation of all documents required to complete their transactions, including maintenance and support services agreements and service-level agreements.

Our Information Technology team works closely with other practice groups at the Firm, including Tax, Corporate, and Intellectual Property, to represent financial and strategic purchasers in connection with investments and acquisitions in which IT assets are material to enterprise value. Typical transactions include negotiating mergers and acquisitions, value-added reseller engagements, and transition services agreements. Working with our Intellectual Property practice group colleagues, we also help our clients protect, exploit, and convey intangible assets associated with software and other valuable intellectual property.
