Randi Mason Quoted in Business Insurance on ESG Impact on M&A Insurance

Randi Mason, partner and co-chair of Morrison Cohen’s Corporate Department, was quoted in a September 13, 2022 Business Insurance article entitled “ESG Impact on M&A Insurance Coverage Limited.” The article discusses how environmental, social, and governance (ESG) factors are playing a growing role in M&A activity and corporate strategy, but so far have not influenced pricing and terms for representations and warranties insurance, which covers potential liabilities arising from mergers and acquisitions.

Randi said that while ESG as a topic is not coming up in negotiations of private middle market acquisition per se, “a lot of components that make up ESG are getting heightened attention,” such as cybersecurity and data privacy. “A decade ago, we had to convince clients to let us do diligence; now issues of data privacy and security take up a lot of diligence time and are given real real estate in purchase agreements,” Randi said.
