Bryan Joggerst counsels operating companies, private equity firms, strategic investors and portfolio companies in a wide range of activities, including mergers and acquisitions, joint ventures, equity financings and other complex corporate transactions.

He represents clients in a broad range of industries, including consumer products, industrial manufacturing, staffing solutions, technology and SaaS companies.

Bryan joined Morrison Cohen in 2016. Prior to that, he was an associate in Cahill Gordon & Reindel LLP’s Corporate Department.

  • Littlejohn Fund VI, L.P. in its acquisition of American Health Staffing Group, a leading provider of healthcare talent and technology solutions.
  • Majority investment by North Castle Partners in Encore Vet Group.
  • Majority investment by Tengram Capital Partners in Lime Crime, an innovative cult-status cosmetics and hair color brand.
  • Acquisition of Alpheus Communications by LOGIX Communications.
  • Acquisition of Intematix, Inc., a leading developer and manufacturer of LED lighting technologies and solutions, by Kaistar Lighting (Xiamen) Co., Ltd.
  • Equity investments in Barry’s Bootcamp, a boutique fitness operator that pioneered the indoor high-intensity interval training category, by private equity fund North Castle Partners.
  • Motion Recruitment Partners LLC in its acquisition of Management Decisions – MDI, LLC, a leading provider of staffing, recruiting and temporary employment services relating to information technology.
  • Majority investment by North Castle Partners in Full Swing Golf, a worldwide leader in cutting edge indoor golf simulation technology.
  • XL Fleet, a leader in fleet electrification solutions for commercial and municipal fleets, in its acquisition of World Energy Efficiency Services, LLC, a leading provider of energy efficiency, renewable technology, electric vehicle charging stations, and other energy solutions to customers across the New England region.
  • WorkWave LLC, a provider of software solutions that help field service companies, in its acquisition of SlingShot Technology, Inc., a provider of customer call center software combined with outsourced sales, lead, and customer response services.
  • Eos Energy Storage LLC, manufacturer and distributor of renewable energy storage systems, in SPAC transaction.

Divestitures

  • Amplified IT LLC, an education-focused consultancy service and leading partner with Google for Education and Google Cloud, in its sale to CDW Corporation, a Fortune 500 company and leading multi-brand provider of information technology solutions across various sectors, like education, in the United States, the United Kingdom, and Canada.
  • The sale of Cosmetic Essence, a contract manufacturer in the personal care products.
  • The sale of Curves International, Inc., a fitness club franchisor.
