Jack Levy’s practice focuses on mergers and acquisitions, corporate finance and securities transactions, formation of private equity and other private investment funds, and corporate governance.
Jack regularly represents private equity funds and other purchasers and sellers in structuring, negotiating and documenting acquisitions and dispositions of companies and other equity investments, leveraged buy-outs and recapitalizations. He also advises funds with respect to their ongoing portfolio investments. Jack has extensive experience in financings, including public securities offerings, private placements and Rule 144A offerings, where he has represented both underwriters and placement agents and issuers; in secured and other lending, including second lien facilities and subordinated debt financings, where he has represented both lenders and borrowers; in work-outs and restructurings; and in general corporate and commercial matters.
Jack counsels boards of directors and committees of boards, including special committees of independent directors and audit committees, in connection with ongoing corporate matters, as well as related party and other extraordinary transactions. He has also spent a significant portion of his career working with entrepreneurs in the formation and early-stage financing of their ventures, counseling them through successive capital raises, including initial public offerings.
