Charles Pfeifer advises clients on an array of executive compensation and employee benefits matters, including those arising in connection with mergers and acquisitions and corporate transactions.

Charlie counsels clients on compensation and benefits structures, including the design and implementation of equity and non-equity incentive arrangements, with a focus on stock, stock option and profits interest programs. He regularly drafts and negotiates executive employment, separation and severance, change-in-control, retention and other related agreements and arrangements. In addition, Charlie advises on the impact of Sections 280G and 409A of the Internal Revenue Code and compensation-related securities regulations affecting businesses and individuals.  

Prior to joining Morrison Cohen, Charlie was an associate in the Executive Compensation and Employee Benefits Group at Simpson Thacher & Bartlett LLP and worked at PricewaterhouseCoopers LLP in the Mergers and Acquisition Tax Group.
