In connection with representing our firm’s clients in mergers, acquisitions, divestitures, leveraged buy-outs, financings and other, similar transactions, our lawyers negotiate and draft incentive, retention and equity programs, employment agreements and restrictive covenant arrangements that are often required in such transactions. We also focus on deferred compensation arrangements and the related requirements under Internal Revenue Code Section 409A, the golden parachute rules under Internal Revenue Code Section 280G, and any other tax, securities and corporate governance issues that need to be addressed and resolved in change of control and other situations.
