Tali Newman advises clients on a broad range of executive compensation and employee benefits matters. 

She regularly advises clients in the negotiation, design and implementation of employment, consulting, termination, separation, change in control and restrictive covenant agreements, as well as equity-based, synthetic equity and cash bonus plans. Tali deals with tax and ERISA issues, as well as issues relating to the scope and enforcement of restrictive covenants.

Tali also advises clients in connection with private company employee stock ownership plans (ESOPs). She regularly represents clients with respect to all aspects of leveraged and non-leveraged ESOP transactions (including partial sales and complete change of control transactions), as well as mergers and acquisitions of ESOP companies. She has considerable experience providing advice relating to corporate governance and other general corporate matters, such as in connection with entity formation and drafting agreements among equity holders (such as limited liability company and shareholder agreements).

Tali joined Morrison Cohen in 2007. Prior to joining Morrison Cohen, she practiced at Clifford Chance LLP, where she began her career in compensation and benefits.
